4. Payment & Fees
Quotes: All project costs are outlined in a specific Statement of Work (SOW) or Proposal.
Schedules: Payments are typically divided into a deposit (due before work begins) and milestone-based payments.
Late Payments: Failure to pay on time may result in a temporary suspension of services or a delay in project delivery.
5. Intellectual Property
Client Ownership: Upon receipt of final payment, the client owns the final deliverables (e.g., website code, graphic designs, and content) created specifically for their project.
Agency Rights: DMM IT retains the right to display the completed work in our portfolio and marketing materials unless a specific non-disclosure agreement (NDA) is in place.
Proprietary Tools: DMM IT retains ownership of any pre-existing proprietary tools, scripts, or internal processes used to execute the services.
6. Disclaimers & Limitation of Liability
No Guarantees: While we strive for excellence, DMM IT cannot guarantee specific rankings on search engines or specific sales figures from ad campaigns, as these are subject to third-party algorithms and market fluctuations.
Third-Party Platforms: We are not responsible for changes made by third-party platforms (such as Google, Meta, or hosting providers) that may affect site performance or ad delivery.
Limitation: In no event shall DMM IT be liable for any indirect, consequential, or incidental damages arising out of the use of our services.
7. Termination
Either party may terminate a service agreement with written notice if the other party breaches these terms. Upon termination, the client is responsible for paying for all work completed up to the date of termination.

We value your privacy. Both DMM IT and the Client agree to keep all sensitive business information, trade secrets, and internal data confidential and will not disclose such information to third parties without prior written consent.

These terms are governed by and construed in accordance with the laws of the jurisdiction in which DMM IT operates, without regard to its conflict of law principles.
